1. Confidential Information
Confidential Information includes non-public commercial,
institutional, legal, financial, operational, technical,
security, pilot, partnership and implementation information
disclosed by or on behalf of MobiVAT.
2. Permitted Purpose
The requester may use Confidential Information solely for the
approved evaluation, engagement or institutional purpose stated
in this access request.
3. Non-Disclosure
The requester must not publish, copy, forward, reproduce,
distribute or disclose Confidential Information without prior
written authorization from MobiVAT.
4. Protection and Need-to-Know Use
The requester must exercise reasonable care and limit use of
Confidential Information to the approved purpose and authorized
persons acting under equivalent confidentiality obligations.
5. Intellectual Property
Access does not transfer ownership, intellectual-property rights
or a licence to MobiVAT technology, documentation, models,
architecture, data or confidential materials.
6. Exclusions
Confidentiality obligations do not apply to information that
the requester can demonstrate was lawfully public, already
lawfully possessed without restriction, independently developed
without use of the disclosed information, or lawfully obtained
from an unrestricted third party.
7. Compelled Disclosure
Where disclosure is legally compelled, the requester must,
where legally permitted, notify MobiVAT promptly and disclose
only the minimum information legally required.
8. Incident Notification
The requester must notify MobiVAT promptly of any suspected
unauthorized access, use, loss or disclosure of Confidential
Information.
9. Return, Deletion and Access Withdrawal
On request or termination of access, the requester must stop
using the information and return or delete controlled copies,
subject to mandatory legal-retention obligations.
10. Duration and Remedies
Confidentiality obligations continue for the period stated in
the approved access decision or applicable agreement. MobiVAT
may suspend access and pursue available remedies for breach.
11. Governing Terms
The final governing law, confidentiality duration and
dispute-resolution provisions will be stated in the approved
institutional agreement or access decision.
